Terms & Conditions

1. Acceptance

By accessing or using BizLinx AI, Inc.'s ("BizLinx," "we," "our," or "us") website at https://bizlinxai.com and related services (collectively, the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and BizLinx. By creating an account, clicking "I Agree," or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Nature of Service

BizLinx operates an AI-powered business ownership marketplace that connects buyers, sellers, franchisors, and professional partners for M&A transactions and franchise opportunities. BizLinx provides:

• AI-generated scores and reports (FranScore™, Partner Score™)
• Buyer-seller matching and discovery tools
• Digital deal rooms for authenticated transactions
• Partner directory and introduction services
• Subscription plans and one-time purchases

BizLinx is not a registered broker-dealer, investment advisor, or legal services provider. The Platform is a technology tool — it does not replace professional advice.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and at all times thereafter.
• Maintain the security and confidentiality of your login credentials. You are fully responsible for all activity that occurs under your account.
• Notify us immediately at security@bizlinxai.com if you suspect unauthorized access to your account.
• Not use another user's account without their explicit permission.
• Be at least 18 years old and have the legal capacity to enter into binding contracts.

You may have one account per person. Businesses may register using a representative's account, provided that representative has authority to bind the business. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Fees & Payments

BizLinx charges fees for certain services as described on our pricing page (/pricing). All fees are in US dollars unless otherwise stated.

Current fee schedule (US dollars):

• Pay-Per-Contact (seller): $300 per qualified buyer contact unlock. Includes unlimited matches and scores — pay only when you unlock a buyer's full profile. No subscription required.
• Unlimited Matches and Scores (seller membership): $500/month. MOST POPULAR. Includes unlimited verified buyer contacts, document vault, deal rooms, DD templates, full CRM. Cancel anytime.
• Free Exit Plan (seller): $0. Sale Timeline, Valuation Range, Top 3 Action Items, Seller Portal, NDA/LOI templates, Due Diligence Checklist.
• Buyers always $0 — no paywall on the buyer side, ever.

Payment terms: All payments are processed by Stripe. By purchasing any product or subscription, you authorize BizLinx to charge your designated payment method. Subscription payments are billed monthly in advance. One-time payments are billed at the time of purchase.

Refunds: Due to the digital nature of our products, all AI score reports, content, and digital downloads are non-refundable once delivered or accessed. Subscription fees are non-refundable after the billing period begins. If you experience a billing error, contact billing@bizlinxai.com. BizLinx reserves the right to issue refunds in its sole discretion in exceptional circumstances.

Failed payments: Subscription accounts with failed payments will have services suspended until payment is collected. BizLinx is not responsible for any fees charged by your financial institution related to failed payments.

5. Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights.
• Submit false, misleading, or fraudulent business listings or information.
• Misrepresent your identity, qualifications, credentials, or the nature of your business.
• Post or share content that is defamatory, obscene, violent, discriminatory, or otherwise unlawful.
• Use the Platform to solicit or facilitate transactions outside the Platform ("off-platforming"), particularly where such transactions would evade BizLinx's fees.
• Attempt to reverse-engineer, scrape, or extract the Platform's underlying technology, AI scores, or proprietary data.
• Use automated systems or bots to access the Platform without our written consent.
• Interfere with the proper functioning of the Platform, including by introducing malware or other harmful code.
• Harass, threaten, or impersonate any other user or third party.
• List businesses or franchises you do not have the legal right to sell, or franchises for which you do not have a current, valid Franchise Disclosure Document (FDD) as required by the FTC Franchise Rule (16 CFR Part 436).

6. Listings

When you create a listing on the Platform (as a seller or franchisor), you represent and warrant that:

• All information provided in the listing is accurate, current, and complete to the best of your knowledge.
• You have the legal right to sell the business or franchise described in the listing.
• For franchise listings, you have a current, valid FDD that complies with the FTC Franchise Rule (16 CFR Part 436) and will provide it to prospective franchisees before accepting any payment or commitment.
• You are not subject to any legal restrictions that would prevent you from completing a transaction.

BizLinx reserves the right to remove any listing that, in our sole discretion, is inaccurate, misleading, prohibited under these Terms, or that may expose BizLinx to legal liability. We do not verify the accuracy of listing content — users are responsible for conducting their own due diligence.

If you are a franchisor, you must comply with applicable federal and state franchise regulations, including providing a complete FDD to prospective franchisees before requiring any payment or signature. Failure to comply may result in FTC enforcement action and legal liability.

7. AI Scores

BizLinx generates AI-powered scores — including FranScore™ and Partner Score™ (collectively, "AI Scores") — using artificial intelligence models, publicly available data, and user-provided information.

Important limitations:

• AI Scores are educational estimates only — not investment advice, financial advice, legal advice, or a professional valuation.
• AI Scores do not guarantee the performance, profitability, or outcome of any franchise, business, or investment.
• AI-generated score explanations and dimension summaries may be inaccurate, incomplete, or outdated.
• Scores reflect data available at the time of generation and may change as new information becomes available.
• BizLinx does not independently verify the accuracy of publicly available data used in score generation.

You should not rely on AI Scores as the sole basis for any investment, acquisition, or business decision. Always consult a licensed financial advisor, business broker, attorney, or CPA before making any decision. See our Privacy Policy — AI Disclosure section for more information.

8. Matching Engine

BizLinx's matching engine uses algorithms and AI to score and recommend potential buyer-seller matches based on criteria including budget, timeline, industry, location, and investment profile. By using the matching engine, you acknowledge that:

• Matches are algorithmic recommendations only — they do not constitute an endorsement, guarantee of compatibility, or prediction of deal success.
• Both parties in a match must express mutual interest before contact information is shared.
• BizLinx does not verify that matches result in completed transactions.
• Mutual matches trigger a 24-hour timer for seller reach-out. After 24 hours, the match may be reactivated by mutual re-interest.
• The matching engine may recommend users outside your stated preferences if the algorithm determines a high compatibility score.

9. Partner Terms

"Partners" are licensed professionals (CPAs, attorneys, business brokers, lenders, franchise consultants, and other advisors) who register on the Platform to receive matched client introductions.

As a Partner, you represent and warrant that:

• You hold all required licenses, credentials, and registrations necessary to provide professional services in your jurisdiction.
• Information provided in your Partner profile (license numbers, firm name, geographic markets, specialization) is accurate and current.
• You will respond to incoming introductions within 48 hours and provide services in a professional, lawful manner.
• BizLinx does not verify your licenses or credentials. You are solely responsible for maintaining active licensure and for the quality of services you provide to clients introduced through the Platform.

Partner Score™ is an AI-generated composite score based on self-reported profile information. BizLinx does not independently verify professional licenses or credentials represented in the Partner Score™.

10. Disclaimers of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

BizLinx does not warrant that:

• The Platform will be uninterrupted, secure, or error-free.
• AI Scores, reports, or recommendations will be accurate, complete, or suitable for your specific situation.
• The Platform will meet your requirements or produce specific business outcomes.
• Any information shared between users will result in a completed transaction.
• Third-party integrations (Stripe, Neon PostgreSQL, AI providers) will operate without interruption or error.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, BizLinx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Platform — even if BizLinx has been advised of the possibility of such damages.

In no event shall BizLinx's total aggregate liability exceed the amount you paid BizLinx in the 12 months preceding the claim, or $100, whichever is greater.

This limitation applies regardless of whether the claim is based on contract, tort, strict liability, or any other legal theory, and survives even if a remedy fails its essential purpose.

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless BizLinx AI, Inc., its officers, directors, employees, agents, and successors ("Indemnitees") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform in violation of these Terms.
• Your submission of false, misleading, or fraudulent listing information.
• Your violation of any applicable law, regulation, or third-party rights.
• Any transaction or interaction between you and another user of the Platform.
• Your provision of inaccurate FDD information or failure to comply with franchise disclosure requirements.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense. This indemnification obligation survives the termination of these Terms and your account.

13. Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

You and BizLinx agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, USA for any actions not subject to arbitration as described below. You waive any objection to venue in Delaware courts.

If you are located outside the United States, note that the Platform is operated from the United States. If you access the Platform from another jurisdiction, you are responsible for compliance with local laws.

14. Termination

By you: You may terminate your account at any time by navigating to account settings or contacting us at support@bizlinxai.com. Termination takes effect upon processing. Refunds are subject to the terms in Section 4 (Fees & Payments).

By BizLinx: BizLinx may suspend or terminate your account, access to the Platform, or these Terms, immediately and without notice, if we reasonably believe you have violated these Terms, engaged in prohibited conduct, or exposed BizLinx to legal liability.

Effect of termination: Upon termination, your account access is revoked, active subscriptions are cancelled (subject to refund discretion), and your right to use the Platform ceases. Sections that by their nature should survive termination will remain in effect, including Disclaimers of Warranties, Limitation of Liability, Indemnification, and Governing Law.

15. CAN-SPAM Compliance

BizLinx complies with the CAN-SPAM Act and applicable email marketing regulations. By using the Platform, you consent to receiving transactional emails from BizLinx (account notifications, match alerts, deal room updates, billing notifications) and, if you opt in, marketing communications.

You can opt out of marketing emails at any time by clicking the unsubscribe link in any marketing email or updating your communication preferences in account settings. Note that transactional emails related to your account or active transactions cannot be opted out of.

BizLinx's email sender information is fully compliant with CAN-SPAM requirements. Our physical address is included in all marketing emails.

16. Miscellaneous

Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any referenced policies, constitute the entire agreement between you and BizLinx regarding your use of the Platform, superseding all prior agreements and understandings.

Amendments: BizLinx reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised "Last Updated" date. For material changes, we will provide additional notice (e.g., an in-platform banner or email). Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.

Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver: BizLinx's failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that or any other provision in the future.

Assignment: You may not assign or transfer these Terms or your account to any third party without BizLinx's written consent. BizLinx may assign these Terms at any time to an affiliate or in connection with a business transfer described in Section 4 of the Privacy Policy.

Force majeure: BizLinx shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
