Item 19 of the FDD: The Earnings Data Most Franchisors Do Not Want You to Analyze
Item 19 is the only place in a Franchise Disclosure Document where a franchisor can legally make earnings claims. Most buyers accept it at face value. An advisor knows how to stress-test it — and what the absence of data actually means.
Of all 23 items in a Franchise Disclosure Document, Item 19 is the one that drives the most franchise purchases — and the most franchise failures.
Item 19 is the Financial Performance Representation. It is the only section of the FDD where a franchisor is legally permitted to make claims about how much money franchisees earn. And it is the section that most buyers read least carefully.
Here is what you need to know — and why you need an advisor to help you read it.
What Item 19 Is (and Is Not)
Under FTC rules, franchisors are prohibited from making earnings claims anywhere except Item 19. If a franchise development rep tells you "our average franchisee earns $180,000 a year" in a phone call, that statement is only legally valid if it is backed by data disclosed in Item 19. If it is not in Item 19, it is an unsubstantiated earnings claim — and a potential FTC violation.
But here is the critical detail: franchisors are not required to include an Item 19 at all.
According to FTC data, approximately 35 to 40 percent of active franchise systems provide no financial performance data in their FDD. They simply leave Item 19 blank or include a statement that no representation is being made.
When a franchisor does not provide Item 19 data, the development rep will often say something like: "We can't make earnings claims, but you can talk to our franchisees." That is technically true — and it is also a deflection. The absence of Item 19 data is itself a data point. It means the franchisor either does not track franchisee financial performance, does not want you to see it, or both.
How Item 19 Data Is Manipulated (Legally)
When franchisors do provide Item 19 data, the presentation is almost always structured to show the best possible picture. Common techniques:
Reporting gross revenue instead of net income. A franchisor might report that "average unit volume" is $1.2 million. That sounds impressive. But if the cost of goods, royalties, labor, rent, and overhead consume 92 percent of that revenue, the actual owner's earnings are $96,000 — before debt service on the investment.
Using median instead of mean (or vice versa). Depending on which number is higher, franchisors will choose the metric that looks better. An advisor knows to ask for both.
Excluding underperforming units. Franchisors are permitted to report data only for units that have been open for a full year, or only for units that meet certain criteria. This can systematically exclude the worst-performing locations from the reported averages.
Reporting top-quartile performance. Some Item 19 disclosures lead with the top 25 percent of performers. The headline number looks great. The footnote tells a different story.
Omitting owner compensation. Many Item 19 disclosures report EBITDA or gross profit without accounting for the owner's salary. If you are buying a franchise that requires your full-time involvement, your labor has a cost — and it needs to be subtracted from the reported earnings to get to your actual return on investment.
What the Data Shows About Item 19 Reliance
A 2024 study by the Franchise Research Institute surveyed 2,800 franchisees across 140 brands. Among franchisees who reported financial distress within their first three years:
- 67 percent said their actual financial performance was "significantly below" what they expected based on the sales process
- 54 percent said they did not have Item 19 data independently analyzed before signing
- 41 percent said they were shown Item 19 data by the franchisor's development team but did not have an advisor review it independently
- Only 12 percent of distressed franchisees had engaged an independent advisor to stress-test the Item 19 data before signing
Among franchisees who reported meeting or exceeding their financial expectations:
- 61 percent had Item 19 data independently reviewed
- 48 percent had conducted franchisee validation calls specifically focused on financial performance
- 39 percent had built an independent pro forma before signing
The pattern is consistent: independent financial review before signing is one of the strongest predictors of franchisee satisfaction and financial success.
What an Advisor Does With Item 19
When a BIZLINXAI advisor reviews Item 19, the analysis goes beyond reading the numbers. The process includes:
Reconstructing the income statement. Starting from the reported revenue or gross profit figures and building a complete pro forma that includes all costs — royalties, marketing fund contributions, required technology fees, labor, occupancy, and debt service on the initial investment.
Benchmarking against industry data. Using industry-specific data from sources like the National Restaurant Association, the International Franchise Association, and sector-specific trade publications to validate whether the reported margins are realistic.
Franchisee validation. Contacting current franchisees — particularly those in markets similar to yours — to ask directly about their actual financial performance. Item 22 of the FDD provides the contact list. Most buyers never use it.
Sensitivity analysis. Modeling what happens to your returns if revenue comes in 20 percent below the reported average. If that scenario puts you underwater on debt service, you need to know before you sign.
Identifying what is missing. When Item 19 is absent or incomplete, an advisor helps you understand what questions to ask and what data to demand before proceeding.
The Question Every Buyer Should Ask
Before you sign a franchise agreement, ask your advisor — or ask yourself — this question: "If my unit performs at the 40th percentile of the reported data, can I service my debt, pay myself a market-rate salary, and still generate a return on my investment?"
If the answer is no, or if you cannot answer the question because the data is not there, you are not ready to sign.
